Charbone Hydrogen nominates seasoned executive as new board member

Charbone Hydrogen Corporation (TSX-V:CH, OTCQB:CHHYF) announced that it has nominated Jean-Claude Gonneau to join its board of directors, with his election set for the company’s upcoming meeting on March 28.  

The company said Gonneau brings more than 40 years of experience in investment banking and corporate strategy, having held leadership roles at firms including BNP Paribas, First Boston Corporation, and Duet Asset Management.

He is the founder of Camden Associates and has served on multiple boards across Canada, the United States, and France.

The company believes Gonneau will provide “exceptional complementary experience” to Charbone’s board.

Charbone also said it settling $310,000 in management remuneration debt by issuing about 4.13 million shares at $0.075 per share.

Further, the company has finalized amendments to its convertible debentures, reducing the interest rate from 14% to 12% and extending the maturity date to October 31, 2025. The conversion price has been adjusted to $0.10 per share, down from $0.40.

With TSXV approval, the company has issued about 1.35 million warrants to debenture holders, allowing them to purchase shares at $0.10 until the revised maturity date.

Charbone has also granted 5.2 million stock options to its directors and executives, exercisable at $0.15 per share over two years.
